Fair Competition Policy
Microboard supports free and fair competition and makes commercial decisions independently, in accordance with Brazilian Law 12,529/2011 and applicable competition laws.
It is prohibited to:
- agree or coordinate prices, discounts, margins or commercial terms with competitors;
- allocate customers, territories, channels or markets;
- coordinate winners, bids, cover bids or abstention in tenders;
- coordinate restrictions on production, capacity or supply;
- exchange non-public competitively sensitive information with competitors regarding future pricing, individualized costs, commercial strategy, customers, volumes, bids or margins where such exchange may restrict competition.
Market information may be used when legitimately obtained from public sources, customers, independent research or appropriately aggregated data that does not enable improper coordination.
Contacts with competitors at trade fairs, associations, technical meetings, standard-setting discussions or supply-chain negotiations require care. A discussion that moves into competitively sensitive topics must be stopped and, where appropriate, documented.
Public and private bids must be prepared independently and legitimately.
Potential cooperation with competitors, distribution restrictions, exclusivity, pricing practices, benchmarking, joint ventures or data-sharing arrangements should receive legal review before implementation where material competition risk exists.
