Code of Ethics & Conduct
1. Purpose
This Code sets the minimum standards of conduct expected from directors, employees, interns and individuals acting on behalf of Microboard. Suppliers and business partners are additionally covered by the Supplier & Business Partner Code.
2. Principles
Microboard conducts business with legality, integrity, good faith, respect, quality, transparency, fair competition, information protection and accountability.
3. Compliance with law
Everyone must comply with laws and regulations applicable to their activities and with Microboard policies. Where a local, contractual or regulatory requirement is more restrictive, it must be followed to the extent applicable.
4. Anti-bribery and anti-corruption
Offering, promising, authorizing, requesting, receiving or accepting a bribe, kickback, improper commission, facilitation payment or any improper advantage, directly or indirectly, in the public or private sector is prohibited.
5. Conflicts of interest
Situations in which personal, family, financial or external interests may interfere, or appear to interfere, with professional impartiality must be disclosed. The individual involved must recuse themselves from the decision where appropriate.
6. Gifts, hospitality and travel
Gifts and hospitality are permitted only when legitimate, occasional, proportionate, lawful and not intended to influence a decision. Cash or cash equivalents are prohibited. Interactions with public officials are subject to stricter requirements and prior approval where applicable.
7. Fair competition
Microboard competes independently. Price fixing, customer or market allocation, bid rigging, coordinated output restriction and improper exchange of competitively sensitive information with competitors are prohibited.
8. Public-sector interactions
Information, statements, documents, bids, measurements and invoices submitted to public-sector entities must be truthful, complete and verifiable. Obtaining advantage through improper influence, fraud, collusion or improper payment is prohibited.
9. Books, records and controls
Transactions must be recorded completely, accurately and in a manner consistent with their true nature. Off-book funds, false documents, misleading entries and deliberate concealment of payments are prohibited.
10. People and the workplace
Microboard does not tolerate discrimination, harassment, violence, forced labour, human trafficking or unlawful child labour. It respects dignity, safety and applicable labour rights.
11. Health and safety
Applicable health-and-safety requirements must be observed, including the use of personal protective equipment when required by the activity or by law.
12. Information, data and intellectual property
Confidential information, personal data, trade secrets, intellectual property and credentials must be protected. Access is permitted only for legitimate business purposes.
13. Company resources
Microboard assets, systems, funds, equipment and information must be used responsibly, lawfully and consistently with the company's interests.
14. Environment and responsible sourcing
Business decisions should consider applicable environmental requirements, responsible material sourcing, proper waste management and relevant supply-chain risks.
15. Speaking up
Suspected violations may be reported in good faith through the Integrity Channel. A person does not need complete proof to report a genuine concern.
16. Non-retaliation
Microboard prohibits retaliation against anyone who, in good faith, raises a concern, participates in an investigation or seeks guidance.
17. Consequences
Violations may result in corrective, disciplinary or contractual measures and, where appropriate, reporting to competent authorities.
18. Leadership responsibility
Leaders must set the tone, answer questions, prevent retaliation, escalate concerns and support effective implementation of this Code.
